1. Acceptance of Terms

By accessing or using Finvo (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Finvo.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

Finvo provides an API-based invoice generation service that allows users to programmatically create PDF invoices and send them via email. The Service is provided "as is" and "as available" without warranties of any kind.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your contact information remains current and accurate

4. Acceptable Use

You agree not to use the Service to:

  • Generate fraudulent, misleading, or deceptive invoices
  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malware, viruses, or other malicious code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Exceed rate limits or abuse API endpoints
  • Resell or redistribute the Service without authorization
  • Use the Service for any illegal or unauthorized purpose
  • Send unsolicited emails or spam through our email functionality
  • Impersonate any person or entity

5. Payment Terms

Certain features of the Service require payment. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide accurate billing information
  • Authorize recurring charges for subscription plans

All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

The Service, including its original content, features, and functionality, is owned by Finvo and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you submit through the Service, but grant us a license to use it as necessary to provide the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that the Service will meet your requirements, be available at any particular time or location, or be free of viruses or other harmful components. You assume full responsibility for any invoices generated using the Service and their compliance with applicable tax and business laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Finvo, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS
  • ANY DAMAGES RESULTING FROM INTERRUPTION OR CESSATION OF THE SERVICE
  • ANY DAMAGES RESULTING FROM BUGS, VIRUSES, OR OTHER HARMFUL CODE
  • ANY DAMAGES RESULTING FROM CONTENT OBTAINED THROUGH THE SERVICE

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Finvo and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) any content you submit through the Service; or (e) your violation of any applicable laws or regulations.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Finvo. You may only bring claims against Finvo in your individual capacity.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Finvo regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
